Should individual provisions of this framework agreement be declared invalid or void in whole or in part by a competent court or become invalid or void in whole or in part due to a change in the legal situation or due to supreme court judgement, or should this agreement contain loopholes, the parties agree that the remaining provisions of this agreement shall remain unaffected and valid. In this case, the parties undertake to replace the invalid provision with a valid provision which comes closest to the meaning and purpose of the invalid provision and which it can be assumed would have been agreed by the parties upon conclusion of the contract if they had known or foreseen the invalidity. The same applies if this contract contains an unintended loophole.
There are no ancillary agreements to this framework agreement. All amendments and additions to this agreement must be made in writing. This also applies to any waiver of this text form requirement.
All disputes arising from or in connection with this contract or in connection with the interpretation or fulfilment of the contract shall be governed by the law of the Federal Republic of Germany to the exclusion of private international law. In the event of legal disputes, the parties submit to the exclusive jurisdiction of German courts. For all disputes arising from and in connection with this contract, the contracting parties agree, as far as legally permissible, to the exclusive jurisdiction of the court at the registered office of rebuy. However, rebuy is also entitled, at its discretion, to appeal to any other competent court.
